Terms of Service

These Terms of Service govern your access to and use of the products and services provided by Heyxio Ltd, including PAL (Private AI Partner) and any other products operated under the Heyxio brand. By creating an account or using any Heyxio product, you agree to be bound by these Terms. Please read them carefully.

Who We Are

Heyxio Ltd is a company registered in England and Wales. Our registered address and company details are available at Companies House. References to "Heyxio", "we", "us", or "our" in these Terms refer to Heyxio Ltd.

References to "you" or "your" refer to the individual or organisation accessing or using our services.

The Services

Heyxio provides software-as-a-service (SaaS) products delivered via the internet, including:

  • PAL — a privacy-first, multi-model AI workspace for management consultants and boutique professional services firms
  • Any additional products or features we may launch under the Heyxio brand

Our services are digital products only. We do not sell physical goods. Access is provided via monthly or annual subscription, or on a pay-as-you-go basis as described on our pricing page.

Eligibility and Account Registration

To use our services, you must:

  • Be at least 18 years of age
  • Have the authority to enter into a binding contract on behalf of yourself or your organisation
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

You are responsible for all activity that occurs under your account. You must notify us immediately of any unauthorised access or security breach.

Subscriptions and Billing

Subscriptions are billed monthly in advance. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

Pay-as-you-go (PAYG) top-ups are one-time purchases and do not expire.

All prices shown on our pricing page are exclusive of VAT unless stated otherwise. VAT will be applied where required by applicable law. Heyxio uses Paddle as its Merchant of Record; Paddle handles payment processing, VAT collection, and remittance on our behalf.

We reserve the right to change our pricing with reasonable notice. Price changes will not affect your current billing period.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the services to process, store, or transmit data in violation of applicable laws or third-party rights
  • Attempt to gain unauthorised access to any part of the platform or its underlying infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the services
  • Use the services to generate, store, or distribute unlawful, defamatory, or harmful content
  • Resell or sublicense access to the services without our prior written consent
  • Circumvent any usage limits, access controls, or security measures
  • Use automated tools to scrape or extract data from the platform at scale

We reserve the right to suspend or terminate accounts that violate these conditions.

Your Data and Intellectual Property

You retain full ownership of all data, documents, and content you upload or create within the platform ("Your Content"). By using our services, you grant Heyxio a limited, non-exclusive licence to process Your Content solely for the purpose of delivering the services to you.

We do not use Your Content to train AI models. We do not sell your data to third parties. Your data is processed in accordance with our Privacy Policy and, where applicable, a Data Processing Agreement.

The intelligence layer of the PAL Brain — including confidence scores, decay weights, supersession chains, traversal logic, and ontology schema — is proprietary to Heyxio. These elements are not included in data exports and remain Heyxio intellectual property.

Heyxio Intellectual Property

All software, design, code, documentation, trademarks, and brand elements associated with Heyxio and its products are the intellectual property of Heyxio Ltd or its licensors. Nothing in these Terms grants you any right to use our trademarks, trade names, or brand assets without our prior written consent.

Service Availability and Changes

We aim to provide a reliable, high-availability service but do not guarantee uninterrupted access. We may carry out scheduled maintenance with reasonable advance notice where possible.

We reserve the right to modify, update, or discontinue features of the services at any time. Where changes are material, we will provide reasonable notice.

Third-Party Services and AI Models

Our platform integrates with third-party AI model providers (including but not limited to Anthropic, OpenAI, Google, Mistral, and Meta) via API. We route your requests to these providers subject to their terms and data processing agreements. We maintain sub-processor agreements with all providers listed in our Sub-Processor Register.

We are not responsible for the outputs generated by third-party AI models. You are responsible for reviewing and validating AI-generated content before use in professional or client-facing contexts.

Disclaimer of Warranties

The services are provided "as is" and "as available". To the fullest extent permitted by law, Heyxio disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the services will be error-free, that AI-generated outputs will be accurate or complete, or that the services will meet your specific professional or regulatory requirements without independent verification.

Limitation of Liability

To the fullest extent permitted by law, Heyxio's total aggregate liability to you in connection with these Terms or the services shall not exceed the total fees paid by you to Heyxio in the twelve (12) months preceding the event giving rise to the claim.

In no event shall Heyxio be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

Cancellation and Termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to the services until the end of the period for which you have paid.

We may suspend or terminate your account if you materially breach these Terms, fail to pay amounts due, or if we are required to do so by law. We will provide reasonable notice where possible.

Upon termination, you may export your data as described in our Privacy Policy. We will retain your data for 30 days post-termination before permanent deletion, unless a shorter period is required by law.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in another jurisdiction, you may also have rights under the laws of your country of residence that cannot be excluded by this clause.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the services after that date constitutes acceptance of the updated Terms.
